Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Praxamed platform operated by Praxamed, Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Use of the Service

Praxamed provides a cloud-based medical practice management platform including scheduling, patient management, medical billing, and AI-assisted front desk features ("Service").

You may use the Service only if:

  • You are a healthcare practice, licensed healthcare provider, or authorized staff member
  • You are at least 18 years of age
  • You are not prohibited by law from using the Service
  • You agree to comply with all applicable laws and regulations, including HIPAA

2. Account Registration

To use the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized account use
  • Ensuring all account information is accurate and up to date

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable law, regulation, or third-party rights
  • Violate HIPAA or applicable state healthcare privacy laws
  • Attempt to gain unauthorized access to any part of the Service
  • Transmit malware, viruses, or harmful code
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools to scrape or extract data from the Service
  • Interfere with the proper functioning of the Service

4. Healthcare Compliance

You are solely responsible for ensuring your use of the Service complies with all applicable healthcare laws and regulations, including HIPAA. Praxamed provides tools and infrastructure designed to support HIPAA compliance, but does not guarantee that your use of the Service will be HIPAA compliant. You are responsible for:

  • Executing a Business Associate Agreement with Praxamed before handling PHI
  • Training your staff on HIPAA compliance obligations
  • Maintaining your own HIPAA policies and procedures
  • Conducting required risk assessments

The Service is not a substitute for qualified legal or compliance counsel. Consult appropriate professionals for your specific compliance needs.

5. Subscription and Payment

Access to the Service requires a paid subscription (following any applicable free trial period). By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by applicable law or as stated in our refund policy.

We may change our pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Intellectual Property

The Service, including all software, content, and features, is owned by Praxamed and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of all data you enter into the Service. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

7. Data and Privacy

Our Privacy Policy, incorporated herein by reference, explains how we collect, use, and protect your information. By using the Service, you agree to our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT. PRAXAMED DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAXAMED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will cease. We will retain your data for a period after termination to allow data export; after that period, data may be permanently deleted. You are responsible for exporting your data before termination takes effect.

11. Governing Law

These Terms are governed by the laws of the state of [State], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [State/County].

12. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
